BINDING LEGAL AGREEMENT — READ BEFORE USING. The Agreement

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RED EAGLE GROUP, LLC ("Company," "we," "our," or "us"), a limited liability company organized under the laws of Delaware, United States. These Terms govern your access to and use of https://redeagleus.com and every related website, newsletter, email dispatch, and digital channel operated or distributed by RED EAGLE GROUP, LLC (collectively, the "Platform").

These Terms should be read together with our Privacy Policy, which describes our data-collection and data-handling practices and forms part of the agreement between you and RED EAGLE GROUP, LLC. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall control.

Eligibility

The Platform is available exclusively to natural persons who have attained the age of eighteen (18) and who possess full legal capacity to enter into a binding agreement under the laws of their jurisdiction. Any access or use by a person under eighteen is strictly and unconditionally prohibited.

Consistent with the Children's Online Privacy Protection Act ("COPPA"), 15 U.S.C. § 6501 et seq., the Company does not knowingly collect personal information from children under thirteen (13). If such information is inadvertently received, we will delete it promptly. Notify us at contact@redeagleus.com if you believe a child under thirteen has interacted with the Platform.

You bear sole responsibility for confirming that access to and use of the Platform is lawful in your jurisdiction.

Key Definitions

As used throughout these Terms — and as referenced in our Privacy Policy — the following defined terms carry the meanings set out below:

"Content" means every article, newsletter, email dispatch, market commentary, editorial analysis, opinion, chart, graphic, video, data set, hyperlink, and any other informational or editorial material published or distributed through the Platform, in any format.

"Company Parties" means RED EAGLE GROUP, LLC and every person or entity within its operational sphere — comprising its managers, members, officers, employees, contractors, technology vendors, data licensors, advertising and sponsorship counterparties, and every entity in a parent, subsidiary, or affiliate relationship with RED EAGLE GROUP, LLC — whether liability is asserted against any one of them individually, jointly, or as a group.

"Digital Assets" means cryptocurrencies, tokens (including utility, governance, and security tokens), stablecoins, non-fungible tokens, decentralized-finance instruments, and any other asset that exists on, is recorded by, or derives its value from distributed-ledger or blockchain technology.

International Access

The Platform is operated from the United States and principally directed at U.S. users. If you access it from outside the United States, you do so at your own initiative and bear sole responsibility for compliance with all laws applicable in your jurisdiction. Where applicable international law independently imposes obligations on RED EAGLE GROUP, LLC — including under Regulation (EU) 2016/679 ("GDPR") — we will seek to fulfill those obligations as they specifically apply to our activities, without constituting a general submission to any foreign regulatory authority.

Nature of the Platform
Financial Media Publisher Only

RED EAGLE GROUP, LLC is a financial media publishing company. Its business is limited to producing and distributing financial news, market commentary, editorial opinion, analytical Content, and educational material for a general readership. None of those activities places RED EAGLE GROUP, LLC within the regulatory perimeter applicable to banks, broker-dealers, investment advisers, insurance intermediaries, tax professionals, or other licensed financial-services participants.

Affiliate Links

Hyperlinks embedded within the Platform — whether in email communications, website articles, newsletters, or other Content — may be affiliate links. When you click an affiliate link and complete a qualifying action, RED EAGLE GROUP, LLC may receive compensation. You should assume that any outbound link to a third-party product or service within the Platform may generate affiliate compensation.

No Endorsement or Suitability Review

The existence of a compensation relationship does not constitute an endorsement, guarantee, warranty, certification, or suitability assurance of any product, service, or provider. All opt-out requests are processed within ten (10) business days of receipt. Such communications may include financial news, newsletters, promotional emails, marketing materials, and operational notices. Electronic communications satisfy any legal requirement that communications be made in writing, to the fullest extent permitted by applicable law. How to Opt Out

You may withdraw consent to receive commercial email at any time, without charge, by: (i) clicking the unsubscribe link in any commercial email; or (ii) contacting us at contact@redeagleus.com. We will process your request within ten (10) business days. Opting out of commercial email does not affect receipt of non-commercial, transactional, or relationship-based messages.

SMS and Mobile Messaging

If RED EAGLE GROUP, LLC or its affiliates transmit text messages, SMS, MMS, or other mobile communications to you, such transmissions may be subject to the Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. § 227, and applicable state telemarketing laws. Where required by applicable law, we will obtain prior express written consent before sending marketing messages to any mobile number. Reply "STOP" to any message or write to contact@redeagleus.com to opt out. Opting out of mobile communications does not cancel email subscriptions, and vice versa.

User Obligations and Risk Acknowledgments
Representations and Warranties

By accessing or using the Platform, you represent and warrant that, as of each date of access:

you have read, understood, and accepted all risk disclosures in these Terms; and

all personal information you provide to RED EAGLE GROUP, LLC is accurate, current, and complete.

Voluntary Assumption of Risk
BY ACCESSING OR USING THE PLATFORM YOU EXPRESSLY ACKNOWLEDGE AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH: (A) FINANCIAL, INVESTMENT, OR TRADING DECISIONS MADE ON THE BASIS OF OR IN CONNECTION WITH ANY CONTENT; (B) THE INHERENT VOLATILITY, UNCERTAINTY, AND HAZARDS OF FINANCIAL MARKETS, INCLUDING SECURITIES MARKETS AND DIGITAL ASSET MARKETS; (C) THE POSSIBILITY OF PARTIAL OR COMPLETE LOSS OF COMMITTED CAPITAL; (D) THE CHANCE THAT CONTENT MAY PROVE INACCURATE, INCOMPLETE, STALE, OR MISLEADING; (E) ENGAGEMENT WITH THIRD-PARTY ADVERTISERS, AFFILIATES, OR SPONSORS; AND (F) EVERY OTHER RISK INHERENT IN OR ARISING FROM YOUR USE OF THE PLATFORM. No Right of Reliance

You agree to comply with all applicable laws in connection with your use of the Platform, including export-control laws, trade-sanction programs, and healthcare regulations. RED EAGLE GROUP, LLC is committed to making the Platform reasonably accessible to users with disabilities, consistent with the Americans with Disabilities Act. Liability Limits, Warranties, and Indemnification
Exclusion of Certain Damages
THE COMPANY PARTIES' COLLECTIVE LIABILITY IS CONFINED TO LOSSES THAT ARE DIRECT, DOCUMENTED, AND CAUSALLY TRACEABLE TO A SPECIFIC ACT OR OMISSION. EXCLUDED FROM RECOVERY ARE ALL FORMS OF HARM THAT ARE COLLATERAL, DERIVATIVE, ENHANCED, OR HYPOTHETICAL — INCLUDING WITHOUT LIMITATION: LOST OR PROJECTED PROFITS; ANTICIPATED REVENUE NOT EARNED; DATA LOST OR CORRUPTED; REPUTATIONAL OR GOODWILL DIMINISHMENT; MARKET OPPORTUNITIES MISSED; DECLINES IN PORTFOLIO OR POSITION VALUE; AND ANY OTHER HARM ARISING FROM INTERVENING MARKET FORCES, THE CONDUCT OF UNAFFILIATED THIRD PARTIES, OR CIRCUMSTANCES BEYOND THE COMPANY PARTIES' CONTROL. THIS EXCLUSION APPLIES REGARDLESS OF HOW THE CLAIM IS PLEADED AND REGARDLESS OF WHETHER ANY COMPANY PARTY HAD PRIOR KNOWLEDGE THAT SUCH HARM MIGHT RESULT.
Aggregate Monetary Cap
THE AGGREGATE LIABILITY OF ALL COMPANY PARTIES FOR ALL CLAIMS OF WHATEVER DESCRIPTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (I) ONE HUNDRED UNITED STATES DOLLARS (US $100.00); OR (II) FEES AND CHARGES YOU HAVE ACTUALLY REMITTED TO THE COMPANY, IF ANY, IN THE TWELVE (12) CONSECUTIVE CALENDAR MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS CEILING IS A SINGLE, UNIFIED FIGURE APPLICABLE TO ALL CLAIMS YOU ASSERT IN COMBINATION — IT IS NOT RECALCULATED PER CLAIM, INCIDENT, OR COMMUNICATION. WHERE A JURISDICTION ESTABLISHES A STATUTORY MINIMUM RECOVERY THAT PARTIES MAY NOT CONTRACTUALLY LOWER, THE COMPANY PARTIES' LIABILITY SHALL NOT FALL BELOW THAT MANDATORY FLOOR.
Specific Exclusions

The monetary limits above apply in full to — and the Company Parties accept no financial responsibility for:

harm caused by factual errors, omissions, outdated material, or inaccuracies introduced by AI-assisted drafting; and

harm attributable to any product, service, or digital resource accessed by following a hyperlink within the Platform.

Jurisdictional Savings

Certain jurisdictions restrict the exclusion or limitation of certain categories of liability. In such jurisdictions the liability of the Company Parties shall be limited to the maximum extent the applicable law permits.

Indemnification

You agree to indemnify, defend — using counsel of RED EAGLE GROUP, LLC's choosing — and hold each Company Party harmless from all claims, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

your infringement or misappropriation of any intellectual-property right of any third party; and

any dispute between you and any third party arising from or relating to the Platform.

This indemnification obligation survives any termination of these Terms.

Warranty Disclaimer
THE PLATFORM AND ALL CONTENT ARE DELIVERED SOLELY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND. THE COMPANY PARTIES DISCLAIM ALL WARRANTIES — EXPRESS, IMPLIED, AND STATUTORY — INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE; ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; ANY WARRANTY AS TO THE ACCURACY, CURRENCY, OR RELIABILITY OF ANY CONTENT INCLUDING AI-ASSISTED CONTENT; AND ANY WARRANTY THAT USE OF THE PLATFORM WILL YIELD PARTICULAR FINANCIAL, INVESTMENT, OR OTHER RESULTS.
Intellectual Property
Ownership

All Content, visual materials, graphics, logos, trademarks, trade names, domain names, software, and other intellectual-property assets embodied in or accessible through the Platform are owned by RED EAGLE GROUP, LLC or its licensors and are protected by applicable United States and international intellectual-property laws.

Limited License

Subject to your compliance with these Terms, RED EAGLE GROUP, LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your own personal, non-commercial, informational purposes only.

Prohibited Uses and Anti-Scraping

You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, or commercially exploit any Content without RED EAGLE GROUP, LLC's prior written authorization. You agree not to use any automated mechanism — including bots, crawlers, scrapers, data-mining programs, or AI training pipelines — to harvest, index, copy, or systematically retrieve Content from the Platform without prior written authorization. Unauthorized use may result in civil and criminal liability.

Governing Law and Dispute Resolution
Governing Law

These Terms and all disputes arising from or relating to them or the Platform are governed by the internal substantive law of the State of Delaware, United States, to the exclusion of any conflict-of-laws rule that would direct application of another jurisdiction's law. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation, validity, and enforcement of the arbitration agreement below.

Mandatory Pre-Dispute Notice

Before initiating arbitration, the claimant must deliver a written Notice of Dispute to the other party identifying the claimant, describing the facts and legal basis of the claim in reasonable detail, and stating the specific relief sought. Notices from users must be sent to contact@redeagleus.com. Following delivery of a valid Notice, the parties shall engage in good-faith informal resolution efforts for thirty (30) calendar days before any arbitration demand may be filed.

Binding Individual Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM — INCLUDING QUESTIONS OF ARBITRABILITY — THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES THEN IN EFFECT. IF THE AAA CANNOT SERVE, THE PARTIES WILL AGREE ON AN ALTERNATIVE, OR A COURT WILL APPOINT ONE. THE SEAT OF ARBITRATION SHALL BE WILMINGTON, DELAWARE, UNITED STATES, OR REMOTELY BY VIDEOCONFERENCE WHERE THE RULES PERMIT. THE ARBITRATOR'S AWARD IS FINAL AND MAY BE ENTERED AS A JUDGMENT IN ANY COMPETENT COURT.
Mass Arbitration Protocol

If fifty (50) or more substantially similar claims against RED EAGLE GROUP, LLC are filed by the same counsel or coordinated claimants (a "Mass Filing"), claims will be processed through a staged selection: an initial cohort of up to fifteen (15) cases per side will be resolved first; all remaining claims will be stayed pending those outcomes. First-cohort results serve as settlement reference material. Filing costs will be allocated consistently with this structure.

Class Action Waiver
YOU AND THE COMPANY AGREE THAT ALL DISPUTES WILL BE RESOLVED EXCLUSIVELY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY INITIATE, JOIN, OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF THIS WAIVER IS FOUND VOID OR UNENFORCEABLE, OR ARBITRATION IS ORDERED ON A CLASS BASIS, THE ENTIRE ARBITRATION AGREEMENT ABOVE IS NULL AND VOID.
Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM.
Fallback Jurisdiction

If arbitration is found inapplicable or unenforceable, both parties irrevocably submit to the exclusive jurisdiction of the federal and state courts in New Castle County, Delaware, United States, and waive all objections to venue, personal jurisdiction, and forum non conveniens.

Statute of Limitations
TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM MUST BE FILED WITHIN ONE (1) YEAR AFTER IT ACCRUES; OTHERWISE IT IS PERMANENTLY BARRED.
General Provisions

No Duty to Update. RED EAGLE GROUP, LLC has no obligation to update, correct, or remove any Content after initial distribution, regardless of new developments or discovered errors. Content is current only as of its original publication date.

Anti-Money Laundering. RED EAGLE GROUP, LLC is a media publisher, not a financial institution subject to the Bank Secrecy Act, 31 U.S.C. § 5311 et seq. It does not verify the source of any funds users may invest or spend in connection with information obtained through the Platform. Each user is solely responsible for compliance with all applicable AML, KYC, and counter-terrorism-financing obligations.

Third-Party Links. The Platform may link to third-party websites and resources not controlled by the Company. The Company is not responsible for their content, privacy practices, accuracy, or availability. Interaction with any third-party resource is at your sole risk.

Force Majeure. The Company is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, governmental actions, infrastructure outages, and cyberattacks.

Equitable Relief. Violations of the intellectual-property and anti-scraping provisions may cause irreparable harm. The Company may seek injunctive and other equitable relief from any competent court without posting bond or quantifying damages in advance.

Assignment. You may not assign these Terms without the Company's written consent. RED EAGLE GROUP, LLC may assign freely without notice, including in connection with a merger, acquisition, or asset sale. Unauthorized assignments are void.

No Third-Party Beneficiaries. These Terms benefit only RED EAGLE GROUP, LLC and you. No third party acquires any right or benefit hereunder.

Severability. If any provision is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in effect.

Non-Waiver. Failure to enforce any right is not a waiver; waivers must be in writing and signed by an authorized Company representative.

Amendments. The Company may modify these Terms at any time. Changes take effect on posting with an updated Effective Date. Continued use constitutes acceptance. Material changes will be notified as required by law.

Entire Agreement. These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between the parties and supersede all prior negotiations, representations, and understandings.

Survival. The sections on Nature of the Platform, Editorial Standards, Digital Asset Risks, Commercial Relationships, Liability, Intellectual Property, and Dispute Resolution, together with the General Provisions above, survive termination of these Terms.
